The foregoing issues c an be summarized as fo llows: Whe ther or not p e titioner is e ntitle d to its c laim for re fund or issuance of a tax c re dit certificate in the amount of P5,070,932.00, re presenting its excess and unutilized c reditable withholding taxes for th e taxable year 2005.
Th e petition is meritorious.
Section 7 6 of the Natio nal Internal Re venue Code (NIRC) of 1997, as amended, provides:
"SEC. 7 6. Final Adjustment Return. - Every corporation liable to tax under Section 27 shall file a final adjustment return covering the total taxable income for the preceding c alendar or fiscal year. If the sum of the quarterly tax payments mode during the said taxable year is not equal to the total tax due on the entire taxable income of that year, the corporation shall either: (A) Pay the balance of tax still due; or (B) Corry-over the excess c redit; or (C) Be c redited or refunded with the excess amount paid, as the case may be.
In case the corporation is entitled to a tax credit or refund of the excess estimated quarterly income taxes paid, the excess amount shown on its final adjustment return may be carried over and c redited against the estimated quarterly income tax liabilities for the taxable quarters of the succeeding taxable years. Once the option to c orry-over and apply the excess quarterly income tax against income tax due for the taxable quarters of the succeeding taxable years has been mode, such option shall be( Sonoma Services, Inc. v. CIR considered irrevocable for that taxable period and no application for cash refund or issuance of a tax credit certificate shall be allowed therefor."
The above-quoted prov1s1on of law provides for two options to a taxable corporation whose total quarterly 1ncom e tax payments 1n a given taxable year exceed its total income tax due, namely: ( l) filing of a tax refund (either in the form of cash or tax credit certific ate); or
(2) availment of a tax c redit. In the first option, any tax on income that is paid in excess of the amount due the government may be refunded, provided that the taxpayer properly applies for the refund. The second option works by applying the refundable amount, as shown in the Final Adjustm ent Return of a given taxable year, against the estimated quarterly income tax liabilities of the succeeding taxable year. However, once the carry-over option is taken, actually or c onstructively, it becomes irrevocable for that taxable period. 11 The phrase "for that taxable period" refers to the taxable year when the excess income tax, subject of the option, was a c quired by the taxpayer.'7{ 11 Philom Asset Management, Inc. vs. Commissioner o f Internal Revenue, G.R. Page 22 o f 29 In exerc1s1ng its option, the corporation must signify in its annual corporate adjustment return (by marking the option box provided in the BIR form) its intention either to carry over the excess c redit or to claim a refund. To fac ilitate tax collection, these remedies are in the alternative and th e c hoice of one precludes the other.IJ A review of petitioner's amended Annual Income Tax Return H for the taxable year 2005 shows that petitioner had total tax credits in the amount of P6,737 ,81 0.00, which consisted of the prior year's excess credits in the amount of Pl ,666,878.00 and c reditable taxes withheld during the year in the amount of P5,070,932.00, to wit: -- - - - - -- - --- - --
